Terms of Service

1. Who may use the Service

You must be at least 18 years old to create an account. If you accept these Terms on behalf of a company or other organization (the “Business”), you represent that you have authority to bind that Business to these Terms, and “you” refers to that Business.

2. The Service

Curilio lets a Business create training courses made of video or reading modules and quizzes, assign them to its staff, and view completion and quiz results on a dashboard. Trainees access assigned training by signing in with a one-time code sent to the email address the Business added for them. We may add, change, or remove features over time.

3. Accounts and security

• You agree to provide accurate information and to keep it up to date.
• Each manager-side login is for one individual. You are responsible for keeping credentials confidential and for all activity that occurs under your account.
• Notify us promptly at support@curilio.com if you believe your account has been accessed without authorization.

4. Your team and trainee data

To use the Service you will add information about your staff, including names and email addresses. You are responsible for that data and represent and warrant that:

• you have a lawful basis to collect and share it with us and to have us process it to provide the Service;
• you have given your staff any notice and obtained any consent required by applicable law;
• each trainee you add is of legal working age in their jurisdiction, and you have obtained any parental or guardian consent required by law for any trainee who is a minor;
• you will handle requests from your staff to access, correct, or delete their information, as the controller of that data.

Our handling of personal information is described in our Privacy Policy.

5. Acceptable use

You agree not to, and not to allow anyone to:

• use the Service in violation of any law or the rights of others, or to harass, intimidate, or retaliate against any individual;
• upload or link to content that is unlawful, infringing, defamatory, or malicious, or that you do not have the right to use;
• probe, scan, or test the vulnerability of the Service, breach or circumvent security or authentication measures, or access data that is not yours;
• scrape or harvest data, or use the Service to build a competing product;
• resell, sublicense, or make the Service available to any third party except your own staff as intended;
• reverse engineer or attempt to derive source code, except to the extent this restriction is prohibited by law;
• interfere with or place an unreasonable load on the Service or its infrastructure.

6. Content and intellectual property

Your Materials. “Your Materials” means the raw materials you supply to us or upload for use in your training — for example your brand guidelines, logos, policies, product and menu information, factual content, photographs, and any existing training materials. As between you and us, you retain all rights in Your Materials. You grant Curilio a worldwide, non-exclusive, royalty-free license to store, reproduce, adapt, and use Your Materials to create, host, and deliver your training through the Service.

Course Deliverables. “Course Deliverables” means the training courses and course components that Curilio creates, writes, structures, or assembles for you — including module organization and sequencing, quiz questions and answer choices, scenario-based application text, feedback lines, and the course frameworks, templates, and formats used to produce them. As between you and us, Curilio owns all right, title, and interest in and to the Course Deliverables and in the underlying methods, structures, templates, and any elements that are not specific to your brand or business. Curilio grants you a worldwide, non-exclusive, non-transferable license to access and use the Course Deliverables prepared for you, through the Service, to train your own staff for as long as your account is active.

Export on cancellation. Curilio retains ownership of the Course Deliverables and the reuse rights described above even after termination. However, if a Business’s account is cancelled or deleted, the Business may request a one-time export of the finished course content prepared for them (text and quiz content in a static document format, not the interactive Service, hosting, tracking, or scoring functionality) by contacting support@curilio.com within the data-retention window described in the Privacy Policy, before that data is deleted. Curilio has no obligation to provide this export after that window closes.

Reuse of non-specific elements. Nothing in these Terms prevents Curilio from developing, using, or providing to other customers course structures, templates, question formats, generic or industry modules, and similar elements, provided they do not incorporate Your Materials or your confidential information.

Feedback. If you send us suggestions or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

Our property. The Service, including its software, design, and the Curilio name and logo, is owned by Curilio and its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights.

Third-party video. Courses may embed videos hosted by third parties such as YouTube or Loom. Your and your trainees’ use of those embedded services is subject to those providers’ own terms, and Curilio is not responsible for third-party content or services.

7. Fees and billing

Plan tiers and prices are shown within the Service. Paid subscriptions, where offered, are billed in advance for the applicable period and are non-refundable except where required by law. You are responsible for applicable taxes. We may change pricing prospectively with reasonable notice. Any free, trial, or pilot access is provided at our discretion and may be modified or discontinued at any time.

8. Beta and early-stage nature of the Service

The Service is an early-stage product that is under active development. Features may change or be removed, and the Service may contain errors. Unless we have separately agreed in writing, the Service is not a system of record for regulatory compliance and should not be relied upon to demonstrate that any legally mandated training has been completed.

9. Availability

We aim to keep the Service available and reliable but do not commit to any specific uptime unless separately agreed in a written service-level agreement. The Service may be unavailable during maintenance or due to factors outside our control.

10. Suspension and termination

You may stop using the Service at any time and may delete your business from within the app. We may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or create legal risk or harm for us or others, or if we are required to do so by law. On termination, your right to use the Service ends and we will delete data as described in the Privacy Policy. Sections that by their nature should survive termination will survive.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY TRAINING DELIVERED THROUGH IT SATISFIES ANY LEGAL OR REGULATORY REQUIREMENT.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CURILIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. CURILIO’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CURILIO FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Indemnification

You will defend, indemnify, and hold harmless Curilio and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to Your Materials, your use of the Service, or your collection and handling of your staff’s personal information.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above, and for material changes we will provide notice within the Service, which may include asking you to accept the updated Terms before continuing to use the Service. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.

15. Governing law

These Terms are governed by the laws of the State of Missouri, United States, without regard to its conflict-of-laws rules. The state and federal courts located there will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction and venue.

16. General

• These Terms and the Privacy Policy are the entire agreement between you and Curilio regarding the Service and supersede any prior agreements.
• If any provision is found unenforceable, the rest remains in effect.
• Our failure to enforce a provision is not a waiver of our right to do so later.
• You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Neither party is liable for delays or failures caused by events beyond its reasonable control.
• Nothing in these Terms creates a partnership, agency, or employment relationship between the parties.
